End User License Agreement (EULA)
1. Agreement to Terms
This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and Innovative Brands LLC ("Company," "we," "us," or "our") for the Listo mobile application ("App," "Application," "Service").
By downloading, installing, or using this App, you agree to be bound by this EULA, our Terms of Service, and our Privacy Policy. If you do not agree, do not download, install, or use the App.
2. License Grant
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial use.
This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the App or its content.
Notwithstanding the above, if you are an authorized creator or business user participating in features explicitly designated for commercial use (such as event listings, creator monetization, or business profiles), your use of those specific features for their intended commercial purpose is permitted under these terms or any supplemental agreement applicable to those features.
3. Age Requirement and Account Terms
Minimum Age: You must be at least 18 years old to use this App. By creating an account, you represent and warrant that you are 18 years of age or older. If we discover a user is under 18, we will terminate their account immediately and delete all associated data.
Account Information: You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
One Account Per Person: You may not create multiple accounts or maintain an account on behalf of another person without their consent.
Parental Reporting: If you are a parent or guardian and believe your child under 18 is using the App, please report it to help@mylisto.app with the subject line "Underage User Report."
4. Community Standards
OBJECTIONABLE CONTENT WILL NOT BE TOLERATED. Listo is a community built around discovering and sharing experiences. We expect all users to contribute positively to that community. These standards apply to all content you post, all interactions you have with other users, and all use of the App.
Respectful Conduct
- Treat other users with respect in all interactions
- Use inclusive language that welcomes people of all backgrounds
- Do not engage in personal attacks, targeted harassment, bullying, or intimidation
- Do not contact other users in ways that are unwanted or threatening
Content Standards
You may not post, upload, share, or transmit content that is:
- Illegal, harmful, threatening, abusive, or defamatory
- Hateful or discriminatory based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other characteristic
- Sexually explicit, pornographic, or containing nudity
- Violent, graphic, or glorifying harm to people or animals
- Promoting illegal drugs, violence, or criminal activity
- Spam, repetitive, or unsolicited promotional content
- Fake, misleading, or deceptive — including false event information or impersonation of other users or venues
- Infringing on any third party's intellectual property rights
- Containing private information of others without their consent
- Harmful to minors in any way
Content Integrity
- Post only content you have the right to share
- Do not misrepresent the nature, location, date, or details of events
- Do not artificially inflate engagement through fake accounts or coordinated inauthentic behavior
- Location tags on posts should accurately reflect the location being referenced
Safety and Privacy
- Do not share your own or others' sensitive personal information publicly
- Do not use the App to stalk, monitor, or track other users
- Report suspicious activity or safety concerns to help@mylisto.app
- Respect other users' privacy and boundaries at all times
5. Content Ownership, License, and Attribution
Ownership
You retain ownership of content you create and post on Listo.
License to Us
By posting content, you grant Innovative Brands LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute, and adapt your content solely in connection with operating, improving, and promoting the Service. This license ends when you delete your content or your account, except where your content has been shared by others or incorporated into aggregated or promotional materials.
Attribution
When you post content publicly, your username will be attributed to that content automatically as part of how the Service operates. You have no control over attribution once content is posted publicly. Your username may appear in connection with your public posts across the Service, including in feeds, discovery surfaces, and shared links. If you do not wish to be attributed, do not post publicly — you may set posts to followers only or private.
Content Responsibility
You are solely responsible for all content you post. You represent and warrant that your content does not violate any applicable law or any third-party rights, and that you have all rights necessary to post it and grant the license above.
6. Content Moderation and Reporting
Our Rights
We reserve the right to remove any content that violates this EULA or our Community Standards, at our sole discretion and without prior notice. We are not obligated to monitor all content but will take action when violations are identified or reported.
Reporting
If you encounter content that violates these standards, use the report icon on any post to flag it for review. For serious safety concerns or violations not addressable through in-app reporting, contact us at help@mylisto.app.
Enforcement
We may take the following actions for violations, depending on severity and recurrence:
- Content removal
- Account warning
- Temporary account restriction
- Permanent account suspension or termination
Repeat violations or single severe violations — including illegal content, content harmful to minors, or coordinated abuse — will result in permanent account termination.
Appeals
If you believe content was removed in error, contact us at help@mylisto.app within 30 days of the removal. Provide the content in question and an explanation of why you believe it does not violate these standards. We will review and respond within 10 business days. We are not obligated to restore content pending or following review.
7. Prohibited Uses
In addition to the content standards above, you may not:
- Use the App for any illegal purpose or in violation of any applicable laws
- Impersonate any person or entity
- Attempt to gain unauthorized access to our systems, accounts, or data
- Use automated tools, bots, or scrapers without our prior written permission
- Distribute malware, harmful code, or any content designed to damage or interfere with systems
- Interfere with other users' use and enjoyment of the App
- Use the App to facilitate any transaction or activity that violates applicable law
8. Intellectual Property
The App, including all software, design, graphics, text, and other materials, is owned by Innovative Brands LLC and protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the App or its content without our prior written permission.
9. Privacy and Data
Your use of the App is governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the App you agree to our Privacy Policy.
10. App Store Terms
Your download and use of the App is also subject to the terms of the app store through which you obtained it (Apple App Store or Google Play Store). In the event of a conflict between this EULA and the applicable app store terms, the app store terms take precedence with respect to your relationship with the app store provider. As between you and Innovative Brands LLC, this EULA governs.
11. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.
WE DO NOT ENDORSE ANY USER-GENERATED CONTENT AND ARE NOT RESPONSIBLE FOR ITS ACCURACY, COMPLETENESS, OR LEGALITY. USERS INTERACT WITH EACH OTHER AND ATTEND EVENTS AT THEIR OWN RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INNOVATIVE BRANDS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to defend, indemnify, and hold harmless Innovative Brands LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the App, your violation of this EULA, your content, or your conduct on the platform.
14. Account Termination
By You: You may stop using the App and delete your account at any time through the app settings. Your personal data will be handled in accordance with our Privacy Policy upon deletion.
By Us: We may suspend or terminate your account at any time for violation of this EULA, for conduct harmful to other users or the Service, or for any other legitimate business reason, with or without notice.
Effect of Termination: Upon termination, your license to use the App ends immediately. Content you posted publicly may remain visible to others unless deleted prior to termination. Your personal data will be handled in accordance with our Privacy Policy.
15. Updates and Modifications
We may update the App and this EULA from time to time. App updates may be required to continue using the Service. We will notify you of material changes to this EULA through the App or by email. Continued use of the App after changes take effect constitutes acceptance of the updated EULA.
16. Dispute Resolution
Governing Law: This EULA is governed by the laws of the State of New York, without regard to its conflict of law principles.
Informal Resolution: Before initiating any formal dispute, contact us at help@mylisto.app and give us 30 days to attempt to resolve the issue informally.
Arbitration: Any dispute that cannot be resolved informally will be settled by binding individual arbitration administered under the rules of the American Arbitration Association in New York, New York. The arbitrator's decision will be final and binding.
Exceptions: Either party may bring claims in small claims court if the dispute qualifies. Either party may seek emergency injunctive relief from a court to prevent irreparable harm pending arbitration.
Class Action Waiver: YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
17. General Provisions
Entire Agreement: This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Innovative Brands LLC regarding the App. In the event of a conflict between this EULA and the Terms of Service on mobile app-specific matters, this EULA takes precedence.
Severability: If any provision of this EULA is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
No Waiver: Our failure to enforce any provision of this EULA will not be considered a waiver of that provision.
